Greenlist, greenlistsupply.com, and its suppliers, agents and affiliates (collectively, “Greenlist”, “our”, “us” or “we”) grants you access to our online services and websites, including without limitation, our website located at www.greenlistsupply.com, and any content, functionality, and products and services offered on or through our online services (collectively, the “Website”), conditioned upon your acceptance of these terms of use (“Terms of Use”).

PLEASE READ THESE TERMS OF USE CAREFULLY. THESE TERMS OF USE CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND US, AND BY USING THE WEBSITE, YOU AGREE TO BE BOUND AND ABIDE BY THESE TERMS OF USE. IF YOU DO NOT AGREE TO THESE TERMS OF USE, YOU MUST CEASE USING THE WEBSITE IMMEDIATELY.

We reserve the right, in our sole discretion, to modify these Terms of Use at any time without notice to you. We will post all modifications to these Terms of Use on the Website, and they will become effective immediately upon being posted to the Website. Your continued use of the Website following the posting of such modifications constitutes your acceptance of them. Therefore, you should check the date of the last update each time that you visit the Website.

The Website contains forms, content, information, trademarks, and other proprietary information and materials that belong to Greenlist and our licensors and that are protected by copyright, trademark and other intellectual property laws (collectively, “Proprietary Materials”). Greenlist retains ownership of all right, title and interest in all Proprietary Materials in all documents, text, images, interactive media, and software owned by Greenlist and/or its suppliers.

Greenlist marks and brand assets are trademarks of Greenlist. Unless otherwise expressly permitted by us in writing, you shall not copy, download, reproduce, distribute, publicly display, publicly perform, prepare derivative works of, or otherwise use or exploit Proprietary Materials. Any commercial use of Proprietary Materials is strictly prohibited.

4. Use License

This Website has been established primarily for the benefit and use of Greenlist branches, customers and potential customers. Not all products or services referred to may be available, and Greenlist may change the products or services described by this Website at any time. Check with your Greenlist representative before relying on any product-related information found in this Website.

Individuals are permitted to view or electronically copy material published on this Website solely for their personal information, provided that both the copyright notice and the permission notice appear thereon and materials are not modified. Without the express written permission from Greenlist, you may not retransmit any files from this Website. Greenlist in its sole discretion may restrict the Website to selected users.

TO THE FULLEST EXTENT PERMITTED BY LAW, GREENLIST MAKE NO REPRESENTATION ABOUT THE SUITABILITY OF THE MATERIALS ON THIS WEBSITE FOR ANY PURPOSE. GREENLIST SPECIFICALLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. YOUR USE OF THIS WEBSITE IS SOLELY AT YOUR OWN RISK.

6. EXCLUSION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GREENLIST AND ITS SUBSIDIARIES AND AFFILIATES, AND THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, AND DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, INCLUDING DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEBSITE. ANY CONTENT DOWNLOADED OR OBTAINED IS DONE AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS, SO THESE MAY NOT APPLY TO YOU.

8. Uploaded Content

By submitting any content to Greenlist, you represent that you are the sole author and owner of the intellectual property rights. You grant Greenlist and its authorized service providers a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, and distribute such content throughout the world without compensation to you.

SECTION B: TERMS AND CONDITIONS OF SALE

1. GENERAL

All orders for products and services (“Product(s)”) placed by a customer (“Customer”) and received by Greenlist, LLC or any of its subsidiaries or affiliates (“Greenlist”), whether placed online, at a store location, or over the phone (each, an “Order”) are subject to these Terms and Conditions of Sale (“Terms”), the terms and conditions set out in the Greenlist Order Acknowledgment, and any additional terms provided by Greenlist in connection with such Order.

2. ORDER CONFIRMATION AND ACCEPTANCE

Orders are accepted by Greenlist when Greenlist provides Customer with written confirmation (an “Order Acknowledgement”). Customer is responsible for keeping its username and password confidential. If Customer suspects unauthorized activity, it should immediately change its password and notify Greenlist at 1-844-744-2777. Customer is responsible for all activity occurring on its account.

3. PROMOTIONAL OFFERINGS

Promotional Offerings are offers only and do not create a binding sale unless Customer receives an Order Acknowledgement. Offerings are subject to a “close-by” date. Greenlist may discontinue or revise Promotional Offerings at any time without notice.

4. PRICES

Customer shall pay the prices quoted, all taxes, and delivery fees. Prices are subject to adjustment without notice to conform to prices in effect on the date of Order shipment. Greenlist reserves the right to modify prices for accepted Orders upon a material increase in raw material, labor, or transportation costs.

5. PAYMENT

Some Orders may require a deposit (10% to 100%). Unless specific credit terms are approved, all payments must be made in advance of shipment. A FINANCE CHARGE OF 1.5% PER MONTH (18% APR) WILL BE ADDED TO UNPAID BALANCES. Greenlist retains a purchase money security interest (PMSI) in all Products sold until paid in full.

6. DELIVERY AND SHIPMENT

Delivery dates are estimates only. Greenlist’s responsibility is limited to shipping Products to Customer. Risk of loss and title transfer when Greenlist tenders Product to the carrier. All Customer claims related to Product shipping or delivery must be received in writing within five (5) days from the date of delivery.

7. QUANTITY TOLERANCE

Quantities are subject to standard industry tolerances. Customer claims for shipping shortages must be received by Greenlist in writing within five (5) business days from date of invoice.

8. CANCELLATION

All orders are non-cancelable and non-refundable except as approved by Greenlist. Greenlist may charge a restocking and cancellation fee. Products in process are subject to a cancellation charge of 100% minus scrap value.

9. RETURNS

Greenlist’s return policy is available at greenlistsupply.com/pages/return-policy and is incorporated herein by reference.

10. ERROR AND ADJUDICATION

Greenlist reserves the right to correct clerical errors. If any term is declared invalid, all other terms remain in full force and effect.

11. DISCLAIMERS

(a) Greenlist only sells third party manufactured Products (except private label). Third-party Products are warranted only to the extent of the original manufacturer’s warranty.

(b) Customer is solely responsible for determining the fitness and suitability of Products. CUSTOMER ASSUMES ALL RESPONSIBILITY FOR LOSS, DAMAGE, OR INJURY ARISING FROM USE.

(c) WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CLAIMS MUST BE BROUGHT DIRECTLY WITH THE MANUFACTURER.

(d) NATURAL PRODUCTS (STONE, BRICK, SLATE) ARE SOLD "AS-IS" WITHOUT WARRANTY. Variations in color and texture are inherent. These products are sold as raw materials, not installed product.

12. INDEMNITY AND LIMITATION OF DAMAGES

(a) Customer shall defend and indemnify Greenlist from claims relating to Products or delivery, except in cases of gross negligence by Greenlist.

(b) GREENLIST SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS.

(c) GREENLIST’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL PAID BY CUSTOMER IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

13. CHOICE OF LAW; VENUE

These Terms are governed by the laws of the State of Georgia, U.S.A. The Superior Court of Fulton County, Georgia, or the nearest federal court, shall have exclusive jurisdiction over all disputes.

14. CALIFORNIA RESIDENTS

(a) Proposition 65: WARNING: Some Products offered by Greenlist may contain chemicals known to the State of California to cause cancer and birth defects or other reproductive harm. Contact 1-844-744-2777 for information.

(b) Notice at Collection: Pursuant to the CCPA/CPRA, Greenlist collects personal information for business purposes. For details on categories and retention, see our California Privacy Notice at Collection.

(c) Privacy Rights: California residents may exercise rights to know, delete, correct, or opt-out by contacting help@greenlistsupply.com or calling 1-844-744-2777.

15. MISCELLANEOUS

(a) Greenlist is not liable for failures beyond its reasonable control.

(b) Designs remain the property of Greenlist or the manufacturer.

(c) These Terms and the Order Acknowledgement constitute the entire agreement.

(d) Customer shall comply with anti-corruption and export control laws.

(e) Terms may be executed electronically pursuant to UETA and the ESIGN Act.
